Terms of Service

These Terms of Service (“Terms”) govern your use of the websites gclouds.io and billing.gclouds.io and all services purchased from gclouds. gclouds is operated by Jones Jack, a sole proprietor based in California, USA (“gclouds”, “we”, “us”). By creating an account, placing an order or using our services, you agree to these Terms and to our Acceptable Use Policy, Refund Policy, Privacy Policy, Service Level Agreement and Risk Disclosure, which are incorporated by reference.

1. Services

gclouds provides infrastructure services, including Linux and Windows virtual dedicated servers (VDS) and dedicated servers, hosted in third-party data centers such as Equinix NY4 (Secaucus, NJ, USA), LD5 (Slough, UK) and TY8 (Tokyo, Japan). Specifications, locations and prices are as described on our website or in the client portal at the time of order. We provide infrastructure only; we do not provide trading, brokerage, market data or investment services.

You are responsible for the software you install and run, for your data and for keeping backups. Unless a managed service is expressly purchased, services are unmanaged.

2. Accounts

You must be at least 18 years old and able to form a binding contract. You must provide accurate, complete information and keep it up to date. You are responsible for all activity under your account and for keeping your passwords, SSH keys and RDP credentials secure. Notify us immediately at support@gclouds.io of any unauthorized use. We may refuse service or require identity verification to prevent fraud.

3. Payment

Fees are billed in advance through our client portal at billing.gclouds.io. Payments are processed by Stripe; gclouds does not store your full card details. Prices are in U.S. dollars unless stated otherwise and exclude any applicable taxes, which you are responsible for. Services are provisioned after payment is received and any verification is completed.

4. Auto-renewal

Services renew automatically at the end of each billing cycle (for example monthly, quarterly or annually) for a cycle of the same length, at the then-current price, unless cancelled. Where you have saved a payment method, you authorize us to charge it for each renewal. To stop renewal, submit a cancellation request from the client portal before the end of the current billing cycle. Renewal payments are non-refundable as described in our Refund Policy.

5. Non-payment and suspension

Invoices are due on the due date shown. If payment is not received, we may suspend the service, typically after a short grace period, and may terminate the service and permanently delete its data if the invoice remains unpaid. We are not responsible for data lost as a result of suspension or termination for non-payment. Chargebacks or payment disputes without first contacting us may result in immediate suspension.

6. Termination

You may cancel a service at any time through the client portal; cancellation takes effect at the end of the current billing cycle or immediately, as you select, without a refund except as stated in the Refund Policy. We may suspend or terminate services immediately and without refund if you violate these Terms or the Acceptable Use Policy, if required by law or by our upstream providers, or to protect our network or other customers. Upon termination, your data will be deleted and cannot be recovered.

7. Disclaimer of warranties

Except as expressly stated in our SLA, services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any specific latency, uninterrupted operation or error-free service.

8. Limitation of liability

To the maximum extent permitted by law, gclouds will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, trading losses, lost revenue, lost data or business interruption, however caused. Our total liability arising out of or relating to the services in any event is limited to the amount you paid us for the affected service in the one (1) month before the event giving rise to the claim. The credits described in our SLA are your sole remedy for service unavailability.

9. Indemnity

You agree to defend, indemnify and hold harmless gclouds and its operator from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from your use of the services, your content, or your violation of these Terms, the Acceptable Use Policy or any law or third-party right.

10. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law rules. Any dispute shall be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

11. Changes

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date, and material changes will be notified by email or in the client portal. Continued use of the services after the effective date constitutes acceptance.
